CVM launches public consultation to regulate innovations brought by Law 14,711

The Securities and Exchange Commission (CVM) begins today, 11/26/2024, the public consultation regarding the draft resolution that proposes specific adjustments to CVM Resolutions 80 and 160.

The initiative aims to incorporate innovations brought by Law 14,711, especially with regard to simplification of the debenture issuance process, with emphasis on the revocation of the requirement for registration of the issuance deed in the commercial registry for publicly-held companies.

This consultation is part of the CVM Regulatory Agenda 2024.

Proposal Highlights

  • Procedures related to the debenture issuance deed: The changes introduced by Law 14,711 eliminated the requirement for commercial registration of the issuance deed. The proposal is that the rule should consider the legal requirements met when the deeds and any amendments to them are sent to the CVM through the electronic system available on the Agency's website.
  • Disclosure of corporate acts related to the issuance of debentures: clarifies procedures for the disclosure of these acts by issuers, including those not registered with the CVM, in particular the mandatory submission of minutes formalizing decisions taken by the board of directors on the issuance of debentures, within seven business days of their completion.

Conceptual public consultation

In addition to the points addressed by the draft regulation, CVM also proposes receiving suggestions and comments from the public on the need or convenience of regulatory changes to overcome possible obstacles to the practical implementation of the splitting mechanism, the nominal value of debentures, interest and other rights attributed to it, pursuant to art. 59, IX, of Law 6,404, as amended by Law 14,711.

Participate in the Public Consultation

Suggestions and comments can be sent until 10/1/2025 to the email. Participate and collaborate in the development of the capital market.

Regulatory Impact Analysis (RIA)

Considering that the proposal complies with a hierarchically superior standard and seeks to reduce regulatory restrictions, a Regulatory Impact Analysis (RIA) was not carried out, as provided for in art. 4, II and VII, of Decree 10,411, and in art. 14, II and VII, of CVM Resolution 67.
